Important Update on BOI Reporting Requirements

If you’ve been stressing about filing your Beneficial Ownership Information (BOI) report by the end of the year, there’s some good news. You can relax for now. Here’s why:

Last year, the government introduced the Corporate Transparency Act of 2024. This act required business owners to report information about who owns their companies. The goal was to combat money laundering and other financial crimes by keeping this information confidential but accessible to the government.

However, the National Federation of Independent Business Owners and several of its members from Texas challenged the constitutionality of this act. They argued that the government was overstepping its authority and that the act violated the First and Fourth Amendments.

Recently, a federal judge in Texas issued a preliminary injunction blocking the enforcement of this reporting requirement nationwide. This means that the deadline to file your BOI report by the end of the year is no longer in effect.

It’s important to understand that this injunction is temporary. The case will proceed to court, and the judge hasn’t officially ruled the act unconstitutional yet. They have only stated that there’s a possibility it could be found unlawful. So, for now, the requirement to file the report is on hold until a final decision is made.
